Heat oven to 350--grease and flour 9x13 pan.
In small bowl, blend all ingredients for filling; beat on high until smooth and creamy, set aside.
In a large bowl, blend cake mix, eggs, oil and water until moistened. Beat 2 minutes on high; pour 1/2 batter into pan. Pour cream cheese over batter, spread to cover. Pour remaining batter over cheese layer. Bake at 350 for 45-55 minutes or until done.
Cool completely . Frost with fudge frosting. Store in refrigerator.
