In a med saucepan, melt down sugar, milk, butter, and cocoa. Stir this constantly so it does not burn! When the chocolate mixture comes to a rolling boil, remove it from the heat and add it to the oat mixture. Stir this until the peanut butter is well blended and all the oats are coated in chocolate.
