Line a 15x10 jelly roll pan with waxed paper and grease paper. Arrange crackers in pan and set aside.
In a saucepan, melt butter and sugar, over medium
heat and boil gently 3 minutes.
Spread evenly over crackers and sprinkle nuts on top. Bake at 325 degrees for 10 minutes. Cool.
Meanwhile, melt chocolate chips and spread over bars. Let cool and after chips are set - turn pan over and peel waxed paper off.
