Mix pudding with milk. Fold Cool Whip into mixture.
Layer graham crackers into a greased 9 x 13 baking dish. Top with half of the pudding mixture. Add another layer of graham crackers, pudding and graham crackers.
Cover and set for 2 hours in the refrigerator.
Mix cocoa powder, Karo, vanilla, butter, milk or cream and 1 1/2 cups powdered sugar.
Top dessert with icing and chill overnight.
