Cook shrimp in salted boiling water 3-4 minutes.
Simmer scallops in sherry with bay leaf 10 minutes
Remove scallops, discard bay leaf and save broth.
Saute mushrooms and onions in butter. Add flour and soup to sherry broth. Stir until thickened.
Add seasoning, celery and water chestnuts. Add shrimp and scallops.
Pour into greased casserole dish. Fold in cheddar cheese. Sprinkle top with bread chrumbs and parmesan cheese.
Bake 30 minutes at 350 degrees
