stir pudding, jello and water in a large saucepan, heat to boiling stirring constantly.
Cool mixture by putting the pan in the sink with ice water. Once it has cooled add cool whip. Gently fold in the oranges.
Pour into a large bowl and refrigerate 2-3 hours before serving. Keeps well for 3-4 days.
